Tax Information for your Maltese Company Registration

A Maltese company is exempt from any withholding taxes and stamp duty. When the distribution of profits from a Maltese Company is sent to a non-resident shareholder, the dividends can be sent without any restrictions and no exchange control restrictions apply.

Malta has a favorable and competitive tax system, which has been the main reason for Malta’s success as a European financial services centre.

Individuals which are trading in or from Malta typically secure the lowest tax rates that are available within the European Union.

The amount of Malta tax refunds is set at 6th/7th of the Malta tax paid by the Maltese company. Therefore, the Maltese company is subject to taxation at 35%, however, the shareholders are entitled to claim back 6/7 of this tax which reduces the corporation tax to 5%.

For example, if gross profits amount to €100,000, the company would pay €35,000 in tax, but the shareholder would typically be entitled to claim back €30,000 in tax refunds.

to allow you to be able to claim back 30% of the corporation tax, the shareholders of the Maltese company must not be resident in Malta. It does not depend on where the company director is located.

Company Name

When choosing a company name for a Maltese company formation, you must ensure that all words within the name are in English. The name must end with a word, phrase, or abbreviation, such as Limited or Ltd.

The company name must be unique and requires approval from the Registrar of Companies. If the company registrar feels that the company name is undesirable or offensive, they can reject the incorporation of the company.

Directors, Shareholders and Secretary
For a standard Maltese company formation, a minimum of one director, one secretary and one shareholder is required, however, they do not need to reside in Malta and they can be corporate bodies.

If a corporate director is used for a Maltese company formation, two shareholders must be appointed.

To ensure the Maltese company formation process is as simple as possible, we appoint a secretary during the incorporation period. Once the company has been incorporated, we then resign the secretary and appoint one of your choice. Alternatively, we can offer a nominee secretary.

Nominee directors are also permitted in a Malta company registration.

It is now a requirement to obtain a Police Conduct Report for all officers within the Company. This is not something that CFS can assist with directly. However, you will be able to obtain this from your local police headquarters.

Share Capital
The standard currency for a Maltese company formation is Euro. We incorporate Maltese companies with a standard share capital of 1200 Shares worth 1.00 Euro each. At least 20% of the Share Capital should be paid up at incorporation and will need to be paid to us before the company can be incorporated.

Your Maltese company formation does not need to have this share capital, we are able to amend this. However, please be aware that additional charges may occur from the Maltese authorities.


A Maltese company is also required to complete annual bookkeeping, accounting services and compliance functions. These are not included within the CFS annual renewal cost. However, we are able to introduce you to an accountant who will be able to assist you with these annual requirements.
